NAKIKI SE takes a stake in ecrop – digital securities move into everyday capital markets

Frankfurt am Main/Amberg, 29 September 2026 – Listed NAKIKI SE (ISIN DE000WNDL300) has taken a 9.749% stake in ecrop GmbH of Amberg. With OmniOmni, ecrop has developed a software platform that covers the entire life cycle of digital securities – from preparing an issuance through investor onboarding, anti-money-laundering checks and subscription to ongoing administration. NAKIKI contributes capital market experience and direct access to issuers, banks, exchanges and investors. The stake marks the start of closer cooperation: both companies intend to drive distribution, financing and market access forward together.

Since the German Electronic Securities Act (eWpG) came into force in June 2021, bonds and other securities can be issued in Germany without a paper certificate. In practice, digital issuance has rarely failed on legal grounds, but mostly on process: investor registration, identification, compliance checks, register entry and ongoing administration are spread across numerous service providers and systems. This is exactly where ecrop comes in. One platform instead of many individual solutions.

OmniOmni is modular – clients use the building blocks individually or in combination: OmniAsset for issuing, registering, transferring and administering digital securities, OmniApp as the investor application, OmniPersona for identification and approvals, OmniEagle for compliance and anti-money-laundering checks, and OmniBoss for administration, roles and permissions. Issuers and financial institutions integrate exactly the modules they need. Which party provides the regulated service in each case depends on the specific deployment model.

With OmniSafe, ecrop adds software for key management and technical custody processes for digital assets such as Bitcoin. The custody itself, which requires a licence, is provided by licensed clients or partners; NAKIKI does not hold crypto assets for third parties, neither through the stake nor through the cooperation.

The technology is not a drawing-board concept but proven in the market: five issuances of electronic securities are documented on the ecrop website, including two corporate bonds of Donaustahl GmbH.

"Digital securities have been legally possible in Germany for five years, but they have not yet arrived in the everyday business of most issuers and banks.
